Terms of Service

Welcome to AssureOkay.com. By accessing or using our website, mobile applications, and services, you enter into a binding legal agreement with Grepus LLC, doing business as AssureOkay ("we," "us," "our"), so it is important that you carefully read the following terms and conditions ("Terms").

Acceptance of Terms

By using our website, mobile applications (iOS and Android), or any other services provided by AssureOkay (collectively, "Our Service", "the Service"), you acknowledge and agree to these Terms and to our Privacy Policy. These Terms govern your use of Our Service and constitute a binding agreement between you and AssureOkay.

Eligibility

The Service is available only to individuals who are at least 18 years old. If you are under 18, you are not permitted to use the Service.

Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and share information about you and it forms part of these Terms. Please read the Privacy Policy carefully before you start to use Our Service.

Subscriptions, Billing, and Free Trials

AssureOkay offers subscription-based plans ("Base" and "Plus") available on a monthly or yearly billing cycle. By subscribing to the Service, you agree to the following:

Free Trial

  1. New users may receive a 3-day free trial (or a 30-day free trial if signing up through a referral link). During the trial, you have full access to all features of your selected plan.
  2. At the end of the free trial period, your subscription will automatically convert to a paid subscription and you will be charged the applicable subscription fee unless you cancel before the trial period ends.
  3. You may cancel your trial at any time before it expires at no cost.

Auto-Renewable Subscriptions

  1. All subscriptions are auto-renewable. Your subscription will automatically renew at the end of each billing period (monthly or yearly) unless you cancel auto-renewal at least 24 hours before the end of the current billing period.
  2. Your account will be charged for renewal within 24 hours prior to the end of the current billing period at the rate of your selected plan.
  3. Cancellation of the current subscription period is not permitted after payment has been processed. You will continue to have access to the Service until the end of your current billing period.

Purchasing Through App Stores

If you subscribe through the Apple App Store or Google Play Store:

  1. Payment will be charged to your Apple ID or Google Play account at confirmation of purchase.
  2. Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current billing period.
  3. You can manage and cancel your subscriptions by going to your device's account settings after purchase (on iOS: Settings > your name > Subscriptions; on Android: Google Play Store > Subscriptions).
  4. Any unused portion of a free trial period will be forfeited when you purchase a subscription.
  5. Subscription purchases through the App Store or Google Play Store are also subject to the respective store's terms and conditions.

Purchasing Through Our Website

If you subscribe through our website:

  1. Payment is processed by Stripe. Your payment information is handled securely by Stripe and is not stored on our servers.
  2. You can manage and cancel your subscription from the Settings page within your AssureOkay account.
  3. Refunds are handled on a case-by-case basis. Please contact support@AssureOkay.com for refund requests.

Pricing

AssureOkay reserves the right to change subscription pricing at any time. Any price changes will take effect at the start of the next billing period following the date of the price change. Your continued use of the Service after a price change constitutes your agreement to pay the updated amount. We will provide reasonable notice of any price changes.

Use of Our Service

AssureOkay is a platform that allows users to set up regular check-ins and notify emergency contacts if a check-in is missed. Users can configure check-ins to occur weekly, every other day, daily, or multiple times per day. The Service sends reminders to users based on their chosen schedule and time zone. If a user fails to check in within the specified time frame, the Service will notify the user's designated emergency contacts via email and SMS.

Permitted Use; Not for Occupational, Workplace, or Lone-Worker Safety

AssureOkay is a personal, consumer peace-of-mind product. It is intended only for individuals to use voluntarily for their own personal safety check-ins and to notify the personal contacts they themselves designate. The Service is not designed, certified, monitored, or sold as an occupational health-and-safety system, a lone-worker safety system, a man-down system, a fall-detection system, an industrial safety system, a security-monitoring service, or any other workplace, employer-deployed, or regulatory safety solution. By using the Service you acknowledge and agree to the following:

  1. NOT A LONE-WORKER OR OCCUPATIONAL SAFETY SYSTEM: The Service is not certified to, and does not, satisfy any occupational health-and-safety, lone-worker, or workplace-safety standard, regulation, or guidance, including but not limited to the U.S. Occupational Safety and Health Act (OSHA) and its general duty clause, the U.K. Health and Safety Executive (HSE) lone-worker guidance, Canadian provincial occupational health and safety statutes, EU/EEA workplace-safety directives, and any equivalent law, code, standard, or industry guidance in any other jurisdiction. The Service does not provide man-down detection, fall detection (other than user-initiated reporting), real-time location of workers, dispatcher or monitoring-center response, guaranteed response-time SLAs, integration with public emergency services or private security responders, or any auditable record suitable for occupational-safety compliance.
  2. NO EMPLOYER OR ORGANIZATIONAL DEPLOYMENT: You may not register for, configure, deploy, administer, require, encourage, or rely upon the Service in your capacity as an employer, contractor, supervisor, safety officer, health-and-safety manager, dispatcher, security operator, or other person responsible for the safety of workers, employees, contractors, volunteers, or any other individuals performing work. You may not require, instruct, or condition anyone's employment or engagement on their use of the Service, and you may not use the Service to monitor, track, or escalate alerts about employees, contractors, or other workers performing job duties. Each AssureOkay account is for the sole personal use of one individual user acting on their own behalf.
  3. NO RELIANCE FOR WORKPLACE SAFETY: If you are working in any setting — including but not limited to construction sites, industrial yards, recycling and waste-processing facilities, manufacturing plants, warehouses, transport, logistics, agricultural work, fieldwork, healthcare home visits, security work, oil and gas, mining, utilities, remote or solo shifts, night shifts, or any other work performed alone or in hazardous conditions — you must not rely on the Service as your lone-worker, man-down, or occupational-safety solution. You must use a properly certified workplace-safety system and follow all applicable safety policies, training, and laws.
  4. NOT FIT FOR HAZARDOUS USE: AssureOkay does not warrant the Service for occupational or hazardous use, expressly disclaims all such warranties, and accepts no liability arising from any such use. The escalation cadence, grace periods, alarm timing, and notification chain of the Service are designed for personal peace-of-mind use, not for the response-time requirements of occupational safety. If you nonetheless choose to use the Service in such a context, you do so entirely at your own risk and at the risk of any worker affected, and you accept full responsibility for any consequence, including injury, death, regulatory liability, or civil claims.
  5. RIGHT TO TERMINATE: AssureOkay reserves the right, in its sole discretion and without notice or refund, to suspend or terminate any account that we reasonably believe is being used in violation of this section, including accounts that appear to be deployed by an employer, that share corporate email domains in patterns suggesting workplace deployment, that list workplace colleagues as primary emergency contacts in lieu of personal contacts, or that otherwise appear to be used as a workplace, occupational, or lone-worker safety tool.
  6. INDEMNIFICATION FOR PROHIBITED USE: If you use, deploy, recommend, or permit the Service in any occupational, workplace, employer-deployed, or lone-worker safety context, you agree to defend, indemnify, and hold harmless AssureOkay and its affiliates, officers, employees, agents, partners, and licensors from and against any and all claims, damages, regulatory penalties, fines, settlements, judgments, and costs (including attorneys' fees) arising from or related to that use, regardless of whether AssureOkay was aware of such use.

Passive Presence Detection (Apple Watch / HealthKit)

AssureOkay offers an optional passive presence-detection feature that, when enabled by you, reads a limited set of health and activity signals from a paired Apple Watch or other HealthKit-enabled device — specifically heart rate and step counts — for the sole purpose of inferring that you are alive and active during a scheduled check-in window. By enabling this feature you acknowledge and agree to the following:

  1. OPT-IN AND REVOCABLE: Passive presence detection is off by default. You must explicitly grant HealthKit permission to enable it, and you may disable it at any time by revoking AssureOkay's HealthKit permissions from the Health app on your iPhone.
  2. NOT A MEDICAL DEVICE: The Service is not a medical device and is not intended to diagnose, treat, monitor, or prevent any medical condition. Health and activity signals are used only as a coarse liveness indicator for the check-in feature; they are not analyzed for clinical purposes.
  3. DATA QUALITY DEPENDS ON YOUR DEVICE: The reliability of presence detection depends on factors entirely outside our control, including but not limited to: whether you are wearing your watch, whether your watch is charged and within range of your phone, whether HealthKit permissions are granted, whether background app refresh and location permissions are granted, whether your phone has network connectivity, the accuracy of Apple's sensor readings, and Apple's own delivery of HealthKit samples to the app. We do not warrant that any signal will be observed, delivered, or processed in any particular time window, or at all.
  4. FALSE NEGATIVES (MISSED ALERTS): If presence signals are not delivered or are delayed, the Service may proceed with reminders, alarms, and contact escalation even though you are in fact safe. Conversely, if signals are delivered, the Service may auto-complete a check-in and suppress reminders, which may result in a missed check-in not escalating in the way you expect. You expressly assume the risk of both outcomes.
  5. FALSE POSITIVES (UNNECESSARY ESCALATION): The Service does not guarantee that the absence of a presence signal accurately reflects an emergency. Watches are removed for charging, sleep, showering, and many other ordinary reasons. You are solely responsible for managing the social, reputational, and other consequences of an alarm that is escalated to your emergency contacts in the absence of a signal.
  6. NO GUARANTEE OF AUTO-COMPLETION: Auto-completion of a check-in based on presence signals is a convenience feature only. AssureOkay does not guarantee that any given check-in will be auto-completed even when you are wearing the watch and signals are being generated.
  7. RETENTION AND DELETION: Presence signals are retained for up to 30 days and then automatically deleted. You may request earlier deletion at any time by emailing support@AssureOkay.com. Once deleted, they cannot be recovered.

Watch Emergency Button (SOS / Panic)

AssureOkay offers a watch-based emergency button that allows you to manually trigger an alarm to your designated emergency contacts. By using this feature you acknowledge and agree to the following:

  1. NOT A SUBSTITUTE FOR EMERGENCY SERVICES: The watch emergency button notifies your designated emergency contacts. It does NOT call 911, 999, 112, or any other public emergency service, dispatch police, fire, or medical responders, attach your location, or guarantee that any human will see, read, or act on the alert. In a life-threatening emergency you MUST contact your local emergency services directly. AssureOkay is, and remains, a supplementary safety tool only.
  2. DELIVERY IS NOT GUARANTEED: Triggering the button initiates a network request and a chain of email and SMS notifications. Each step depends on systems outside our control, including watchOS, iOS, your network connection, Apple Push Notification service, our hosting providers, our email delivery providers, our SMS providers (e.g., Twilio), carrier routing, and the recipient's device and inbox configuration. We do not warrant that any alert will be delivered to any contact in any time window, or at all.
  3. GRACE WINDOW: By default, the Service holds a user-triggered alarm for a short pre-escalation grace window (currently 30 seconds) during which you can cancel before any contact is notified. You acknowledge that this is a deliberate trade-off in favor of false-alarm recovery, and that during this window your contacts have not yet been alerted.
  4. CANCELLATION AND "FALSE ALARM" NOTIFICATIONS: If you cancel after escalation has begun, the Service attempts to notify already-alerted contacts that the alarm has been resolved. We do not guarantee that resolution notices will be delivered. You are solely responsible for any consequences of alarms that were escalated and not subsequently resolved in the recipient's perception.
  5. ACCIDENTAL TRIGGERS: Press-and-hold gestures, while designed to reduce accidents, can still be triggered unintentionally. You are solely responsible for the consequences of any alarm you trigger, including alarms triggered while you are asleep, distracted, intoxicated, or by another person using your device.
  6. RATE LIMITING AND ABUSE PREVENTION: To protect the Service and your contacts from abuse, repeated triggers may be rate-limited, deduplicated, or rejected. You agree not to use the emergency button for testing in a manner that creates real alerts to your contacts without their consent, and not to use it to harass any person.
  7. OFFLINE BEHAVIOR: If your watch or phone has no network connection at the time of trigger, the alarm may be queued, delayed, or never delivered. The Service does not guarantee any offline behavior.

AI Phone Check-in Feature

For Plus subscribers, AssureOkay offers an AI-powered phone check-in feature. By using this feature, you acknowledge and agree to the following:

  1. The AI Phone Check-in feature will call your registered phone number at your scheduled check-in times.
  2. Our AI assistant will engage in a brief conversation to verify your wellbeing. These calls may be recorded and processed for safety and service improvement purposes.
  3. If you miss a call, the system will make up to two additional attempts before notifying your emergency contacts.
  4. The AI system uses natural language processing to assess your responses. While sophisticated, it may not detect all emergency situations.
  5. You agree not to use the AI Phone Check-in feature for any purpose other than its intended use of verifying your wellbeing.
  6. The availability and reliability of this feature depends on various factors including phone network coverage and system availability.
  7. You understand that this feature is provided as part of the Plus subscription and may be suspended if your subscription becomes inactive.

Digital Will Feature

For Plus subscribers, AssureOkay offers a Digital Will feature that allows users to store documents and information for distribution to designated contacts. By using the Digital Will feature, you explicitly acknowledge, understand, and agree to all of the following terms:

Nature of the Digital Will Service

  1. NOT A LEGAL SERVICE: The Digital Will feature is a document storage and distribution service ONLY. AssureOkay does NOT create, draft, review, validate, or provide any legal documents, legal wills, trusts, powers of attorney, or any other legal instruments. We are NOT a law firm and do NOT provide legal advice.
  2. NOT A REPLACEMENT FOR LEGAL DOCUMENTS: The Digital Will feature is NOT a substitute for a legally executed will, trust, or estate plan. You must independently obtain proper legal counsel and execute legally valid documents according to your jurisdiction's requirements.
  3. NO LEGAL VALIDITY: Documents stored or distributed through our Digital Will feature have no legal validity by virtue of being stored with us. The legal validity of any document depends entirely on whether it was properly executed according to applicable laws.
  4. STORAGE AND DISTRIBUTION ONLY: We merely provide a platform to store files and distribute them to your designated contacts under certain conditions. We make no representations about the legal effect, enforceability, or validity of any documents you upload.

Document Upload, Storage, and Personalization

  1. You are solely responsible for the content, accuracy, completeness, and legality of any documents, information, or personal messages you upload to the Digital Will feature.
  2. You represent and warrant that you have the legal right to upload and distribute any documents you store with us, and that such documents do not infringe upon any third-party rights.
  3. You understand that storage limits apply based on your subscription tier and that we may reject files that exceed size limits or contain prohibited content.
  4. You acknowledge that while we implement security measures, no system is completely secure. You accept the risk of unauthorized access, data breaches, data corruption, or data loss.
  5. AssureOkay does NOT review, verify, validate, or guarantee the accuracy, authenticity, or legal validity of any documents or personal messages you upload.
  6. You are responsible for keeping your uploaded documents and personal messages current and accurate. We are not responsible for distributing outdated or incorrect information.
  7. PERSONALIZED MESSAGES: You may write personalized messages for each designated contact. You are solely responsible for the content of these messages. AssureOkay does not review, filter, or moderate the content of personalized messages.
  8. SELECTIVE FILE SHARING: You may choose which files are shared with which contacts. You are solely responsible for correctly configuring file assignments. AssureOkay is not responsible if files are shared with unintended recipients due to your configuration choices, or if intended recipients do not receive files due to misconfiguration.

Encryption and Security

  1. If you choose to encrypt your documents, you are solely responsible for maintaining and securing your 12-word recovery phrase (based on the BIP-39 standard).
  2. RECOVERY PHRASE STORAGE: Your recovery phrase is stored only in your local browser storage. It is never transmitted to or stored on our servers. If you clear your browser data, switch browsers, or use a different device, you must restore your phrase manually.
  3. LOST RECOVERY PHRASE: If you lose your 12-word recovery phrase, AssureOkay CANNOT recover your encrypted documents. We do not have access to your recovery phrase and have no ability to decrypt your files.
  4. You acknowledge that encryption will prevent your designated contacts from accessing documents if they do not have your 12-word recovery phrase.
  5. You are responsible for securely sharing your 12-word recovery phrase with your designated contacts (e.g., via the downloadable PDF, in a password manager, or through another secure method) so they can decrypt your files after release.

Verification System and Document Release

  1. The Digital Will feature uses a verification system that periodically requires you to confirm your wellbeing. If you fail to verify within the designated time period (including any grace period), your documents may be automatically released to your designated contacts.
  2. AUTOMATIC RELEASE: You understand and accept that documents WILL be released automatically if you fail to complete verification, regardless of the reason for your failure to respond (including but not limited to: being on vacation, hospitalization, loss of phone, internet connectivity issues, email delivery failures, or simply forgetting).
  3. EXECUTOR REQUESTS: Designated executors may request early release of your documents. If you fail to respond to an executor request within 48 hours, your documents may be released.
  4. MANUAL RELEASE: You may manually release your documents at any time. Manual releases are immediate and cannot be undone after the revocation period expires.
  5. REVOCATION WINDOW: You have a limited period (currently 7 days) to revoke an accidental release. After this period, released documents become permanently accessible to your contacts, and we cannot restrict their access or use of the information.
  6. You acknowledge that once documents are released and the revocation period expires, recipients may copy, save, share, or otherwise use the information, and AssureOkay has no control over such use.

Designated Contacts and Executors

  1. You are solely responsible for selecting appropriate contacts and executors to receive your documents and personalized messages.
  2. You represent that you have obtained consent from all designated contacts and executors to receive communications from us and potentially receive your documents and personalized messages.
  3. You are responsible for maintaining accurate contact information for your designated recipients. We are not responsible if documents or messages cannot be delivered due to incorrect or outdated contact information.
  4. You acknowledge that designated executors have the power to request document release, and you accept the risks associated with granting this authority.
  5. AssureOkay is not responsible for verifying the identity, trustworthiness, or legal authority of any contacts or executors you designate.
  6. You acknowledge that conflicts may arise among your designated contacts regarding your documents or personalized messages, and AssureOkay has no obligation to mediate or resolve such disputes.
  7. Different contacts may receive different documents and messages based on your configuration. You are solely responsible for ensuring the correct content is assigned to the correct recipients.

Digital Will Disclaimer and Limitation of Liability

In addition to the general disclaimers and limitations of liability in these Terms, you specifically acknowledge and agree:

  1. AssureOkay makes NO WARRANTY that documents will be delivered to your designated contacts in a timely manner or at all.
  2. AssureOkay is NOT RESPONSIBLE for any consequences arising from:
    • Premature or accidental release of your documents or personalized messages
    • Failure to release documents or messages when intended
    • Delays in document or message distribution
    • Failure of recipients to receive or access documents or messages
    • Loss, corruption, or unauthorized access to your stored documents or messages
    • Any actions taken by recipients based on your documents or personalized messages
    • Disputes among your designated contacts or family members
    • Legal challenges to documents or messages distributed through the service
    • Tax, legal, or financial consequences arising from document or message distribution
    • Failure of the verification system to function as expected
    • Inability to revoke access after the revocation period
    • Incorrect file assignment or personalized message delivery due to your configuration
    • Emotional distress caused by personalized messages you have written
  3. You expressly release AssureOkay from any and all claims related to the legal validity, enforceability, or effect of any documents stored or distributed through the Digital Will feature.
  4. You agree to indemnify and hold harmless AssureOkay from any claims, damages, or expenses arising from your use of the Digital Will feature, including claims by your heirs, beneficiaries, designated contacts, or any third parties.

THE DIGITAL WILL FEATURE IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES. YOU USE THIS FEATURE AT YOUR OWN RISK. ASSUREOKAY STRONGLY RECOMMENDS THAT YOU CONSULT WITH A QUALIFIED ATTORNEY TO PREPARE LEGALLY VALID ESTATE PLANNING DOCUMENTS AND NOT RELY SOLELY ON THIS SERVICE FOR ANY ESTATE PLANNING PURPOSES.

Referral Program

The AssureOkay Referral Program allows existing users to invite friends and family to join AssureOkay. When a referred person signs up using your unique referral link and becomes a paying subscriber, both you and your friend receive rewards.

Rewards Structure

For You (the Referrer):

  • You will receive credit equivalent to 2 months of the Base plan in your currency when your referred friend completes their 30-day trial and makes their first payment.
  • Credits are only applied after your friend's first successful payment is processed - not when they sign up for the trial.
  • Credits are automatically applied to your Stripe customer balance and will be used toward your next billing cycle(s).
  • There is no limit to the number of friends you can refer or the total credits you can earn.

For Your Friend (the Referred User):

  • Your friend receives an extended 30-day free trial when they sign up using your referral link.
  • During the trial, they have full access to all features with no payment required.
  • They can cancel anytime during the 30-day trial at no cost.
  • After the trial ends, their subscription will automatically convert to a paid plan unless cancelled.

How the Referral Program Works

  1. Share your link: Find your unique referral link in your account settings under "Referrals" and share it with friends and family.
  2. Friend signs up: When someone uses your link to create an account, they're tracked as your referral and receive a 30-day free trial.
  3. Friend's trial ends: After the 30-day trial period, your friend's subscription converts to paid and their first payment is processed.
  4. You receive credit: Once your friend's first payment is successfully processed, your referral credit is automatically applied to your Stripe customer balance.

Referral Program Eligibility

  • You must have an active AssureOkay account in good standing.
  • Referred users must be new to AssureOkay (no previous accounts).
  • Self-referrals are not permitted.
  • You cannot refer users who already have or previously had an AssureOkay account.

Referral Program Prohibited Activities

The following activities are strictly prohibited and may result in disqualification from the program and/or account termination:

  • Creating fake or duplicate accounts to earn referral rewards.
  • Using your referral link in paid advertising, spam, or unsolicited communications.
  • Posting referral links on coupon or deal websites without authorization.
  • Misrepresenting the AssureOkay service or referral program benefits.
  • Any fraudulent or deceptive practices to earn referral credits.

Referral Credit Terms

  • Referral credits have no cash value and cannot be redeemed for cash.
  • Credits are non-transferable between accounts.
  • Credits are applied automatically to your Stripe customer balance.
  • If you cancel your subscription, unused credits will remain on your account but cannot be refunded.
  • Credits do not expire as long as your account remains active.

Referral Program Modifications

AssureOkay reserves the right to modify, suspend, or terminate the Referral Program at any time without prior notice, change the reward amounts or structure, disqualify any user from the program for violating these terms, and reverse or void credits that were earned through prohibited activities.

Your Account

Upon creating an account with AssureOkay, you agree to:

  1. Provide truthful, accurate, current, and complete information about yourself as prompted by the account registration process.
  2. Set up at least one emergency contact, including their name, email address, and phone number.
  3. Configure your check-in schedule, including frequency and specific times.
  4. Provide and maintain accurate time zone information to ensure proper functioning of reminders and notifications.
  5. Maintain the confidentiality of your account credentials and restrict access to your devices to prevent unauthorized access to your account.
  6. Accept responsibility for all activities that occur under your account or password.
  7. Not transfer or assign your account to anyone else.

AssureOkay reserves the right to refuse service, terminate accounts, remove or edit content, or cancel services in its sole discretion.

Emergency Contacts

By adding emergency contacts to your account, you represent that you have obtained consent from these individuals to be contacted in case of an emergency. You may choose to inform your contacts about successful check-ins. You are responsible for maintaining accurate contact information for your emergency contacts.

SMS Notifications and Geographic Restrictions

AssureOkay provides SMS notifications to emergency contacts when a user misses a scheduled check-in. By using the Service, you acknowledge and agree to the following SMS-related terms:

Geographic Restrictions

  1. HIGH-RISK REGIONS: To prevent SMS fraud and maintain service affordability, SMS notifications to phone numbers in certain geographic regions may be restricted or unavailable, particularly during trial periods. These regions are identified based on elevated risk of SMS traffic pumping fraud and other fraudulent activities.
  2. TRIAL PERIOD RESTRICTIONS: During your free trial period, SMS notifications to emergency contacts with phone numbers in high-risk regions will be disabled. Email notifications will continue to function normally. SMS functionality to these regions is enabled after you become a paying subscriber.
  3. AFFECTED REGIONS: High-risk regions currently include, but are not limited to: Russia, Ukraine, Belarus, Kazakhstan, Uzbekistan, Pakistan, Bangladesh, Nigeria, Ghana, Kenya, Tanzania, Uganda, Zambia, Zimbabwe, Egypt, Morocco, Tunisia, Philippines, Vietnam, Indonesia, Thailand, Malaysia, Venezuela, Colombia, Peru, Ecuador, Bolivia, Paraguay, and Israel. This list may be updated at any time without prior notice.
  4. EMAIL FALLBACK: When SMS is restricted, email notifications remain active. You should ensure your emergency contacts have valid email addresses as a backup notification method.

Rate Limiting

  1. To prevent abuse and ensure service reliability, SMS notifications are subject to rate limits. These limits include restrictions on the number of messages that can be sent to a single phone number within a given time period, as well as per-user daily limits.
  2. Critical alarm notifications (missed check-in alerts to emergency contacts) are prioritized and may bypass certain rate limits to ensure timely delivery.
  3. Rate limits may be adjusted at any time without prior notice based on operational requirements and fraud prevention needs.

SMS Disclaimer

AssureOkay does not guarantee SMS delivery. SMS messages may be delayed, blocked, or undelivered due to carrier issues, geographic restrictions, rate limiting, invalid phone numbers, or other factors beyond our control. You should not rely solely on SMS notifications for emergency purposes. Always maintain alternative contact methods and ensure your emergency contacts are reachable through multiple channels.

Service Reliability and Disclaimer

AssureOkay will use commercially reasonable efforts to provide the best service it can, but you explicitly acknowledge and agree that:

  1. The Service, including all features and particularly the AI Phone Check-in feature, the passive presence detection feature, the watch emergency / SOS button, and the Digital Will feature, is provided strictly on an "as is" and "as available" basis without any warranties, representations, or guarantees of any kind, whether express, implied, statutory, or otherwise, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, reliability, availability, or non-infringement.
  2. AssureOkay does not warrant or guarantee that the Service will be uninterrupted, timely, secure, error-free, or available at any specific time or in any specific geography, that any data will be successfully collected, transmitted, stored, processed, or delivered, or that any notification, alarm, signal, recording, or document will reach any intended recipient.
  3. AssureOkay is not and cannot be held responsible — in any way, on any theory of liability, for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages — for any failure, malfunction, delay, omission, error, inaccuracy, suppression, or unintended escalation in any aspect of the Service, including without limitation:
    • Making, receiving, completing, or interpreting AI phone calls
    • Detecting, mis-detecting, or failing to detect emergency situations through AI, presence signals, missed check-ins, or any other means
    • Collecting, receiving, or processing health and activity data from Apple Watch, HealthKit, or any other device or sensor (including data that is delayed, missing, duplicated, out of order, partial, inaccurate, or never delivered to us by Apple, the device, or the operating system)
    • Auto-completing or failing to auto-complete a check-in based on presence signals, including cases where the user was in fact safe but no signal was observed, and cases where a signal was observed but the user was in fact in distress
    • Suppressing or failing to suppress reminder notifications based on recent activity
    • Receiving, processing, escalating, suppressing, deduplicating, rate-limiting, cancelling, or resolving any user-triggered alarm or watch SOS / panic event, including alarms that are triggered accidentally, alarms that are not delivered, alarms that are delivered late, alarms that are escalated despite a cancellation attempt, and "false alarm" / resolved notifications that are not delivered to contacts that received the original alert
    • Delivering alarms, emails, push notifications, or SMS notifications, including failures caused by carriers, ISPs, app stores, push-notification services, third-party providers, geographic restrictions, rate limiting, spam filtering, or recipient device or account configuration
    • Contacting, or failing to contact, your designated emergency contacts in any particular sequence or time window
    • Processing check-ins, missed check-ins, schedules, time-zone handling, daylight-saving transitions, or grace-period calculations
    • Storing, retrieving, distributing, releasing, or revoking Digital Will documents and personalized messages
    • Processing verification requests or executor release requests
    • Maintaining document encryption, key management, or any security control
    • Loss, corruption, unauthorized access to, or destruction of any data you provide or that we collect, including health and activity signals, alarm history, contact lists, voice recordings, transcripts, or files
    • Any reliance you, your contacts, or any third party place on the Service, on the apparent state of the Service, or on the absence of an alert
    • Any use of the Service in an occupational, workplace, employer-deployed, lone-worker, man-down, fall-detection, industrial-safety, or other professional safety context, all of which are outside the intended use of the Service and expressly prohibited by these Terms
    • Any other aspect of the Service or any data the Service collects, processes, transmits, or fails to collect, process, or transmit
  4. BEST-EFFORT, NOT GUARANTEED. AssureOkay's commitment to you is limited to making commercially reasonable efforts to provide the best service we can. We make no commitment that the Service will succeed in any specific instance. Even when we do everything within our power, the Service depends on a long chain of third-party systems — devices, operating systems, sensors, networks, push services, email and SMS providers, hosting providers, app stores, and the recipient's own devices — any of which can fail at any time, with or without notice, in ways we cannot detect or prevent. You agree that AssureOkay is not responsible, in any way, for any such failure or for any consequence of any such failure.
  5. The Service is intended as a supplementary safety measure only and must not be used or relied upon as your sole or primary means of ensuring safety, summoning emergency assistance, monitoring health, or planning your estate.
  6. You are solely responsible for maintaining alternative safety measures, redundant emergency contact methods, working access to your local emergency services, and proper legal estate planning documents independent of this Service. If your safety or anyone else's safety depends on a single channel of notification, that channel must not be the Service.

Limitation of Liability

To the maximum extent permitted by law:

  1. AssureOkay and its affiliates, officers, employees, agents, partners, and licensors expressly disclaim all liability for any damages, losses, or consequences, whether direct, indirect, incidental, special, consequential, or punitive, arising from:
    • Any failure, malfunction, downtime, or unavailability of the Service or any of its features (including the passive presence detection feature and the watch emergency / SOS button)
    • Any failure to detect or respond to emergency situations, including any failure of presence inference, missed-check-in detection, or AI assessment to recognize that a user is in distress
    • Any unintended or unwanted escalation, including alarms or notifications that are delivered when the user was, in fact, safe
    • Any delays or failures in AI phone calls, push notifications, alarms, or alerts
    • SMS delivery failures due to geographic restrictions, rate limiting, or carrier issues
    • Unavailability of SMS notifications during trial periods for certain regions
    • Failure to collect, receive, or process health, activity, or presence data from Apple Watch, HealthKit, or any other device or sensor; data that is missing, late, duplicated, partial, or inaccurate; or revocation of permissions on the user's device
    • Failure or delay in receiving, processing, escalating, cancelling, or resolving any user-triggered alarm, including any watch SOS / panic event, regardless of whether the failure occurs on the device, the network, our servers, our service providers, or the recipient's side
    • Reliance on the Service — by you, your emergency contacts, or any third party — for safety, medical, emergency, or estate-planning purposes
    • Actions or inactions of emergency contacts, including a contact's failure to read, understand, or act on a notification
    • Technical failures, network issues, third-party outages, app-store outages, or service interruptions, whether attributable to AssureOkay or to any of its providers
    • Any consequence of the 30-second pre-escalation grace window applied to user-triggered alarms, or of any future change to the duration or behavior of that window
    • Loss, corruption, unauthorized access, or destruction of Digital Will documents
    • Premature, delayed, or failed release of Digital Will documents
    • Legal invalidity or unenforceability of any documents stored in the Digital Will
    • Disputes, litigation, or claims arising from Digital Will document distribution
    • Actions taken by recipients of Digital Will documents
    • Failure of encryption or security measures
    • Loss of your 12-word recovery phrase or inability to decrypt documents
    • Failure to share your recovery phrase with designated contacts
    • Loss of browser data containing your recovery phrase
    • Any tax, legal, financial, or estate planning consequences
  2. Under no circumstances shall AssureOkay's total liability exceed the amount paid by you for the Service in the twelve months preceding any claim.
  3. You explicitly agree to assume all risks associated with using the Service and acknowledge that you are solely responsible for maintaining appropriate safety measures, legal documents, and estate planning independent of the Service.

BY USING THE SERVICE, YOU EXPLICITLY ACKNOWLEDGE THAT ASSUREOKAY IS NOT AN EMERGENCY SERVICE AND SHOULD NOT BE USED OR RELIED UPON AS SUCH. THE WATCH EMERGENCY BUTTON, PASSIVE PRESENCE DETECTION, AI PHONE CHECK-INS, MISSED-CHECK-IN ESCALATION, AND ALL OTHER SAFETY-RELATED FEATURES ARE SUPPLEMENTARY ONLY. NONE OF THEM CONTACT 911, 999, 112, OR ANY OTHER PUBLIC EMERGENCY SERVICE, AND NONE OF THEM ARE GUARANTEED TO WORK AT ANY GIVEN TIME. IN CASE OF EMERGENCY, YOU MUST IMMEDIATELY CONTACT YOUR LOCAL EMERGENCY SERVICES.

YOU AGREE THAT ASSUREOKAY WILL DO ITS BEST TO PROVIDE THE BEST SERVICE POSSIBLE, BUT IS IN NO WAY RESPONSIBLE FOR ANY POTENTIAL FAILURE OF THE PLATFORM — INCLUDING ANY FAILURE IN THE COLLECTION, TRANSMISSION, OR PROCESSING OF DATA, ANY FAILURE IN THE OPERATION OF THE SERVICE, OR ANY FAILURE TO DELIVER, ESCALATE, SUPPRESS, OR CANCEL ANY ALERT — AND THAT YOU USE THE SERVICE ENTIRELY AT YOUR OWN RISK.

BY USING THE DIGITAL WILL FEATURE, YOU EXPLICITLY ACKNOWLEDGE THAT ASSUREOKAY IS NOT A LAW FIRM, DOES NOT PROVIDE LEGAL ADVICE, AND DOES NOT CREATE OR VALIDATE LEGAL DOCUMENTS. THE DIGITAL WILL FEATURE IS A STORAGE AND DISTRIBUTION SERVICE ONLY AND SHOULD NOT BE RELIED UPON AS A SUBSTITUTE FOR PROPER LEGAL ESTATE PLANNING. YOU SHOULD CONSULT WITH A QUALIFIED ATTORNEY FOR ALL ESTATE PLANNING NEEDS.

Indemnification

You agree to defend, indemnify, and hold harmless AssureOkay and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service, including the Digital Will feature, the passive presence detection feature, and the watch emergency / SOS button; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; (iv) any claim that your use of the Service has caused damage to a third party; (v) any claims by your heirs, beneficiaries, estate, designated contacts, executors, or family members related to the Digital Will feature; (vi) any claims arising from documents or personalized messages you uploaded, stored, or distributed through the Digital Will feature; (vii) any disputes regarding the validity, interpretation, or distribution of documents or personalized messages stored in the Digital Will; (viii) any tax, legal, or financial consequences arising from document or message distribution; (ix) any claims arising from the content of personalized messages you have written or from incorrect file assignment to contacts; (x) any claims arising from a user-triggered alarm or watch SOS event, including alarms triggered accidentally, alarms not delivered, alarms delivered late, alarms cancelled before delivery to contacts, or "false alarm" / resolution notices not delivered to contacts that received the original alert; or (xi) any claims arising from the collection, non-collection, processing, or non-processing of health, activity, or presence data from Apple Watch, HealthKit, or any other device or sensor, including any check-in that was or was not auto-completed and any reminder, notification, or alarm that was or was not suppressed as a result; or (xii) any claims arising from use, deployment, recommendation, or permission of the Service in any occupational, workplace, employer-deployed, lone-worker, man-down, fall-detection, industrial-safety, or other professional safety context, including claims by employees, contractors, workers, family members of workers, employers, regulators, insurers, or other third parties, and including regulatory penalties, fines, settlements, and judgments. This defense and indemnification obligation will survive these Terms and your use of the Service.

Account Termination and Data Retention

You may terminate your account at any time. Upon account deletion:

  1. Your account will be deactivated immediately. Check-in schedules and notifications will be discontinued, and you will be logged out of all devices.
  2. All personal data — including your profile, check-in history, emergency contacts, pet information, wellness data, and Digital Will documents — will be permanently deleted within 30 days of account deletion.
  3. If your Plus subscription expires or is cancelled, Digital Will features will be suspended, and documents will not be released through the automatic verification system.
  4. You are responsible for downloading or backing up your Digital Will documents before deleting your account or cancelling your subscription.
  5. AssureOkay reserves the right to terminate accounts that violate these Terms or are used for illegal purposes.
  6. Documents that have already been released to contacts prior to account deletion remain accessible to those contacts according to the release terms.
  7. Payment and transaction records may be retained beyond 30 days as required by financial regulations and tax law.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive your right to a jury trial and to participate in any class action lawsuit against AssureOkay. Notwithstanding the foregoing, AssureOkay may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Changes to Terms

AssureOkay may revise these Terms at any time without prior notice. By using this website or our mobile applications, you are agreeing to be bound by the then current version of these Terms of Service. We encourage users to regularly review the Terms to remain informed of any updates.
